These Affiliate Program Terms & Conditions ("Affiliate Terms") govern your participation in the KaHappy Affiliate Program. By applying to or participating in the program, you agree to be bound by these Affiliate Terms in addition to our general Terms & Conditions.
1. Program Overview
The KaHappy Affiliate Program allows approved participants ("Affiliates") to earn commissions by referring new customers to KaHappy. Affiliates receive a unique referral link to share with their audience. When someone signs up through that link and becomes a paying subscriber, the Affiliate earns a commission on their monthly subscription payments.
2. Eligibility & Enrollment
- You must have a free KaHappy account to apply to the Affiliate Program.
- Creating a KaHappy account does not automatically make you an affiliate. You must submit a separate application through the Affiliate Program page.
- All applications are reviewed and approved manually by KaHappy at our sole discretion. We may reject applications for any reason without obligation to explain.
- The Affiliate Program is currently available to residents of the United States, Canada, and Australia only. Applications from other countries will not be accepted at this time. KaHappy may expand eligibility to additional countries in the future.
- You must be at least 18 years old to participate.
- You may only maintain one affiliate account. Multiple accounts will result in termination.
3. Commission Structure
3.1 Commission Rate
Approved Affiliates earn a 20% recurring commission on each paid monthly subscription payment made by a referred customer. Commissions are calculated as a percentage of the actual subscription amount paid by the customer (after any discounts or coupons).
Subscription payments only. Commissions apply exclusively to recurring subscription payments. One-time purchases — including credit pack purchases and any other non-subscription charges — do not generate affiliate commissions.
3.2 Commission Duration
Commissions are earned for up to 12 months from the date of the referred customer's first paid subscription payment. After 12 months, no further commissions are earned for that referral.
3.3 Referral Tracking
When someone clicks your referral link, a 30-day tracking cookie is placed in their browser. If they create a KaHappy account and subscribe to a paid plan within that 30-day window, they are credited as your referral. If the cookie expires before they sign up, no referral is recorded.
3.4 Commission Approval
Commissions initially carry a "Pending" status. KaHappy reviews and approves commissions to verify they are legitimate. Only approved commissions count toward your payout balance. KaHappy reserves the right to void commissions that result from fraudulent, deceptive, or policy-violating activity.
4. Payouts
- The minimum payout threshold is $25 USD. You may request a payout once your approved commission balance reaches $25.
- Payouts are processed manually. Available payout methods include Wise, PayPal, and Bank Transfer. You must provide accurate payout details in your affiliate dashboard.
- KaHappy aims to process payout requests promptly but does not guarantee a specific processing timeline.
- You are responsible for any taxes, fees, or other obligations related to commissions earned through the program.
- If a referred customer receives a refund, initiates a chargeback, or their payment is reversed for any reason, the associated commission will be voided and deducted from your balance.
5. Prohibited Conduct
As an Affiliate, you agree not to:
- Self-refer: Use your own referral link to sign up or subscribe to KaHappy for yourself, your own business, or accounts you control.
- Spam: Send unsolicited emails, messages, or other communications to promote your referral link. This includes bulk email, purchased email lists, and automated messaging.
- Make misleading claims: Misrepresent KaHappy's features, pricing, capabilities, or your relationship with KaHappy. Do not guarantee results, make income claims about the affiliate program, or create false urgency.
- Bid on branded keywords: Run paid search ads (Google Ads, Bing Ads, etc.) that bid on "KaHappy," "kahappy.com," or similar branded terms, or use KaHappy trademarks in ad copy without written permission.
- Use cookie stuffing or forced clicks: Employ any technique that sets referral cookies without the user's knowledge or genuine intent to visit KaHappy.
- Create fake accounts or referrals: Generate fraudulent signups, use bots, or otherwise manipulate the referral system.
- Engage in illegal activity: Use the affiliate program in any way that violates applicable laws or regulations.
- Impersonate KaHappy: Create websites, social media accounts, or other assets that could reasonably be mistaken for official KaHappy properties.
6. Use of KaHappy Brand
- You may use KaHappy's name and logo solely for the purpose of promoting your referral link.
- Do not alter, distort, or modify the KaHappy logo or brand materials.
- Do not imply an official partnership, endorsement, or employment relationship with KaHappy unless one exists in writing.
- KaHappy may provide branded materials for affiliate use. Use of these materials must follow any guidelines provided.
7. Taxes & Tax Reporting
- You are solely responsible for reporting and paying any income, self-employment, or other taxes owed on commissions you earn. KaHappy does not withhold taxes from your payouts.
- You must provide accurate and complete tax information (country of residence, full legal name, tax identification number, and address) in your affiliate dashboard before any payout can be processed. Payout requests will be blocked until this information is on file.
- US-based affiliates must provide the information required for a Form W-9. Commissions are paid to you as an independent contractor, and if we pay you $600 USD or more in a calendar year we are generally required to report those payments to the IRS and issue you a Form 1099-NEC. You should report this as self-employment / independent-contractor income on your tax return.
- Non-US affiliates must provide the information required for a Form W-8BEN to certify their foreign status.
- You are responsible for keeping your tax information current and accurate. Providing false tax information may result in withheld payouts and termination from the program.
- Where payouts are made through a third-party processor (such as PayPal), that processor may also report payments to tax authorities under its own rules.
8. Relationship of Parties
You are an independent contractor, not an employee, partner, agent, or joint venturer of KaHappy. Nothing in these Affiliate Terms creates an employment or agency relationship. You have no authority to bind KaHappy or make commitments on our behalf.
9. Termination & Suspension
- KaHappy may suspend or terminate your affiliate status at any time, for any reason, with or without notice. Common reasons include violation of these terms, inactivity, or program changes.
- You may voluntarily leave the program at any time by contacting us.
- Upon termination, you must immediately stop using your referral link and remove any KaHappy promotional materials. Pending approved commissions above the $25 threshold will be paid out. Unpaid commissions below the threshold or commissions still in "Pending" status will be forfeited.
- Termination does not affect referrals already credited and commissions already approved prior to termination, provided they were earned in compliance with these terms.
10. Modification of Terms
KaHappy reserves the right to modify these Affiliate Terms, the commission structure, payout thresholds, cookie duration, or any other aspect of the program at any time. Changes will be posted on this page with an updated "Last updated" date. Continued participation in the program after changes are posted constitutes your acceptance of the updated terms. Material changes (such as commission rate reductions) will be communicated via email when possible.
11. Limitation of Liability
KaHappy's total liability to you under these Affiliate Terms shall not exceed the total commissions paid to you in the 12 months preceding the event giving rise to the claim. KaHappy is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the program.
12. Governing Law
These Affiliate Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of the State of California.
